Business Owner BD (the “Company”) acts as a private investment manager offering private profit-sharing contracts and project share arrangements. Nothing on this website or in our marketing materials constitutes an offer to the public of securities, a public deposit, or a public invitation to subscribe for shares unless expressly stated in a signed agreement. Prospective investors will be bound only by the terms of a signed investment agreement.
2. Risk and returns
All investments involve risk. While certain investment agreements may describe a guaranteed return or profit-sharing rate, any such guarantee is valid only to the extent expressly set out in the signed contract between you and the Company and subject to applicable law. Past performance or projected returns do not guarantee future results. You should not invest money that you cannot afford to lose.
3. No public deposits
The Company does not accept public deposits in a manner prohibited by law. Acceptance of funds will be structured in compliance with applicable Bangladeshi laws and regulations; funds received under any arrangement will be dealt with as set out in the relevant agreement. Please note that accepting deposits or inviting public deposits may be restricted under the Companies Act and related laws.
4. Eligibility, KYC and AML
By investing you confirm that you meet the minimum eligibility requirements (at least 18 years of age). The Company requires completion of Know Your Customer (KYC) and anti-money-laundering (AML) checks before accepting or releasing any funds. The Company reserves the right to refuse, suspend, or terminate any transaction or relationship that fails KYC/AML checks or otherwise raises regulatory concerns.
5. Taxes and fees
Investors are solely responsible for any taxes, duties, levies, or reporting obligations arising from their investments and returns. The Company does not provide tax advice. You should consult your tax advisor for guidance on tax treatment in your jurisdiction.
6. Documentation and contract terms
All investments are subject to the terms and conditions of the definitive investment agreement and related documents (including profit-sharing schedules, repayment or distribution timetables, and any security or pledge documents). In case of any conflict between website materials and a signed agreement, the signed agreement shall prevail.
7. Shariah / ethical compliance
Where stated, the Company may describe projects as being structured in accordance with Shariah-compliant principles (profit-sharing models such as mudarabah/musharakah). Such descriptions are statements of intended structure and practice; any Shariah compliance representation will be subject to the specific terms of the investment agreement.
8. Limitation of liability
To the fullest extent permitted by law, the Company and its officers, directors, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages or for loss of profits, loss of business, loss of goodwill or loss of data arising out of, in connection with, or resulting from any investment, use of the website, or reliance on any information provided by the Company.
9. Dispute resolution & governing law
These arrangements and any dispute arising out of or in connection with them shall be governed by the laws of the People’s Republic of Bangladesh. Unless otherwise agreed in writing, the courts of Dhaka, Bangladesh, shall have exclusive jurisdiction to resolve disputes. (Alternatively, parties may agree in the investment agreement to arbitration seated in Dhaka; consult your legal advisor.)
